THE GUILD OF ANCIENT GASSERS
Constitution and Bylaws
As Amended by Vote of the Assembled Membership,
May 31, 1997
ARTICLE I
NAME
SECTION
1. The name of this organization shall be The Guild of
Ancient Gassers.
ARTICLE
II
PURPOSES
The
purposes of this organization are:
(a) To advance friendship and fellowship among
personnel in the propane gas industry who have
contributed to the industry’s progress.
(b)
To provide opportunities and encouragement for reunions
among the members at state, regional, and national
conventions and meetings.
(c) To provide for cooperative efforts in worthy
contributions to the development of the future of the
propane gas industry.
ARTICLE
III
MEMBERSHIP
SECTION
1. There shall be one class of membership. Men and women who
have been engaged in the propane industry for a minimum of
25 years shall be eligible.
SECTION
2. Every application for membership shall be made to the
Secretary of the organization, in writing, on such form as
may be established, together with appropriate fee(s).
ARTICLE
IV
DUES
SECTION
1. Dues shall be payable on the 15th day of January each
year. New members whose applications and dues are received
after October 1 shall be granted membership privileges
throughout the following year.
SECTION
2. A member whose dues are in arrears on July 1 shall be
dropped from membership. A member who has been dropped for
non-payment may be reinstated at any time upon payment of
current dues.
ARTICLE V
OFFICERS AND ORGANIZATION
SECTION
1. The officers shall consist of chairman, vice chairman,
secretary, treasurer, and Chronicles fund steward.
SECTION
2. The officers of this organization shall be elected by a
vote of the membership at the annual meeting. Nothing in
these by-laws shall be construed as restricting any officers
from holding an elective position for more than one term or
from holding more than one office.
SECTION
3. At the annual meeting, the chairman shall appoint the
following committee chairpersons, who may name the members
of their own committees: Nominating, Awards, Historic
Preservation, Finance, Scholarship Fund, Regional
Coordinator, Publicity, and Activities. The elected officers
and chairperson shall comprise the Executive Committee. The
Executive Committee shall have jurisdiction over all
matters relating to the management and functioning of the
organization. The duties of the officers shall be such as
usually pertain to their offices.
ARTICLE
VI
VOTING
SECTION
1. Each member of this organization in good standing shall
be entitled to one vote in all matters. Whenever it shall be
deemed expedient by the Executive Committee, matters may be
submitted to the membership for a vote by mail or FAX or
other means of remote communication.
ARTICLE
VII
MEETINGS
SECTION
1. The annual meeting for the purpose of electing officers
and transacting the business of the organization shall be
held at such time and place as may be determined by the
Executive Committee, with appropriate notice to the
membership.
SECTION
2. Special meeting shall be called by the Executive
Committee or by request of at least 25% of the members.
SECTION
3. The majority of the Executive Committee shall be required
for a quorum of any meeting of the Committee, but at any
annual or special meeting the number of members present
shall constitute a quorum.
ARTICLE
VIII
AMENDMENTS
SECTION
1. The constitution and these by-laws may be amended,
repealed, or altered, in whole or in part, by a 2/3rds vote
of the members of this organization who cast votes on any
submitted question. Amendments may be submitted in the form
of resolutions by the Executive Committee or by 25% or more
of the active membership.

IX
COMMITTEES
SECTION
1. The Executive Committee shall establish such other
committees as it deems necessary for carrying out the
purposes set forth in this constitution.
